Results of Annual General Meeting of Shareholders
5 July 2017. Moscow, Russia. - PJSC ROSSETI (LSE: RSTI) (the "Company"), the largest electricity transmission and distribution grid company in Russia announces the results of the Annual General Meeting of Shareholders ("AGM") held on 30 June 2017:
The following resolutions were passed at the AGM:
1. Approve of the Company's annual report for 2016;
2. Approve of the Company's accounts, including the financial performance statements for 2016;
3. Approve of distribution of profit (loss) for 2016;
4. Dividends on the Company's preference shares shall be paid out of the Company's net profit for 2016 in cash in the amount of 0.368355281 ruble per preference share. Dividends on the Company's ordinary shares shall be paid out of the Company's net profit for 2016 in cash in the amount of 0.006214460 ruble per ordinary share.
The dividend payment period shall be not later than August 2, 2017, for a nominee holder and an asset manager that is a professional securities market participant and not later than August 23, 2017, for other shareholders registered on the register.
The record date for the persons entitled to dividends shall be July 19, 2017;
5. Remuneration for serving on the Company's Board of Directors shall be paid to members of the Company's Board of Directors other than those who hold public office in the amount, prescribed in the Company's internal documents;
6. Remuneration for serving on the Company's Internal Audit Commission shall be paid to members of the Company's Internal Audit Commission other than those who hold public office in the amount, prescribed in the Company's internal documents;
7. Elect the following 15 members to the Company's Board of Directors:

12. Approve of a restated version of the Regulations for the Board of Directors of the Company;
13. Approve of participation in the Global Energy Interconnection Development and Cooperation Organization (GEIDCO);
14 Approve of participation in the Russian Union of Industrialists and Entrepreneurs Russian Association of Employers.
