River and Mercantile Group PLC
Result of General Meeting
On 26 October 2021, the River and Mercantile Group PLC ("RMG" or the "Company") announced that it had entered into a contract with Schroder International Holdings Limited, a wholly owned subsidiary of Schroders plc to sell its non-US Fiduciary Management, Advisory and Derivatives business (the "Sale").
RMG is pleased to announce that a resolution proposed at a General Meeting of the Company held on 13 December 2021 at 11:00am (UK time) seeking approval of the Sale (the "Resolution") was duly passed by shareholders, with 100% of votes submitted in favour of the Resolution. Full details of the vote are set out below.
A further announcement will be made upon completion of the Sale.

The full text of the Resolution is set out in the notice of general meeting forming part of the circular to shareholders dated 23 November 2021.
Please note a 'vote withheld' is not a vote under English law and is not counted in the calculation of votes 'for' and 'against' a resolution or the total number of votes cast.
The total number of RMG shares in issue as at 6.30pm (UK time) on 9 December 2021, being the voting record time, was 85,453,634 ordinary shares. The Company does not hold any ordinary shares in the capital of the Company in treasury. Therefore, the total voting rights in the Company as at the voting record time were 85,453,634.
A copy of the Resolution will be submitted and made available for inspection from the Financial Conduct Authority's National Storage Mechanism at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
