NOTIFICATION OF TRANSACTIONS OF
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
VESTING OF BUY-OUT AWARDS
The Company announces that on 19 May 2022 buy-out awards granted to Alex Hoctor-Duncan, CEO and PDMR, and Simon Wilson, CFO and PDMR, vested pursuant to the terms of each buy-out award deed. The buy-out awards have been satisfied part in ordinary shares in the Company of £0.003 pence each ('Shares') and the remainder in cash.
Accordingly, Alex Hoctor-Duncan was granted nil cost options in respect of 143,617 Shares which he then exercised on 19 May 2022. Simon Wilson will receive 51,750 Shares.
In accordance with the terms of the respective buy-out awards and Listing Rules, the Shares used to satisfy the vesting of the buy-out awards are market purchased Shares held in the Company's Employee Benefit Trust.
Formal notifications in respect of the PDMRs are set out below in accordance with the requirements of the Market Abuse Regulation.
