River and Mercantile Group PLC announces the retirement of a Non-Executive Director

River and Mercantile Group PLC ("the Company") announces that Jonathan Punter, a non-independent Non-Executive Director of the Company, has informed the Company of his intention to retire as a Non-Executive Director at the end of the Company's financial year on 30 June 2019.

Jonathan Punter's appointment to the Board is pursuant to a Relationship Agreement with Punter Southall Group Limited ("PSG") entered into at the Company's IPO. Under the terms of the Relationship Agreement, subject to PSG holding in aggregate 10% or more of the Company's issued share capital, PSG is able to nominate a Non-Executive Director to the Board. PSG has not indicated an intention to nominate a replacement Non-Executive Director to the Board.

Jonathan Dawson, Chairman, said:

"We are grateful for Jonathan's support of the Company since its IPO in 2014. I, personally, appreciate Jonathan's help and support given to me following my appointment as Chairman."

The Company makes this announcement in accordance with LR9.6.11R.
