RHM plc14 March 2007 NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION IN WHOLE OR IN PART IN, INTO ORFROM ANY JURISDICTION WHERE TO DO SO WOULD CONSTITUTE A VIOLATION OF THERELEVANT LAWS IN THAT JURISDICTION 14 March 2007 RHM plc ("RHM") Court Sanctions Scheme of Arrangement and Confirms Reduction in Capital The board of RHM is pleased to announce that earlier today the Court sanctionedthe Scheme of Arrangement (the "Scheme") and confirmed the reduction in capitalto implement the recommended acquisition of RHM by Premier Foods plc ("Premier"). The Scheme is expected to become effective on 16 March 2007 following thedelivery of the Court Order and RHM Shares will cease to be listed on theofficial list maintained by the UK Listing Authority and will be cancelled at 8a.m. (London time) on 16 March 2007. On the basis of the timetable set out in the Scheme document dated 22 December2006 and in consideration for the cancellation of their shareholdings,shareholders on RHM's share register at 4.30 p.m. (London time) on 15 March 2007will receive 83.2 pence in cash and one New Premier Share for each RHM Shareheld by them. Cash consideration due to holders of RHM Shares held inuncertificated form will be paid via CREST, and any cheques in respect of anycash consideration due to holders of RHM Shares held in certificated form willbe despatched by no later than 30 March 2007. Certificates for New PremierShares will be credited to CREST accounts on 16 March 2007 and certificatesdespatched no later than 30 March 2007.
