("RedHot" or the "Company" or "RHM")

Result of Annual General Meeting

The Board of RedHot is pleased to announce that at the Company's annual general meeting ("AGM"), held earlier today, all resolutions were duly passed.

Further to the announcement made by the Company on 25 June 2012, shareholders of RedHot approved, inter alia, the following at today's AGM:

·; A bonus share issue to shareholders of one new ordinary US$0.10 share in the Company ("Ordinary Share") for every ten Ordinary Shares held (the "Bonus Issue I");

·; A follow on bonus share issue to shareholders of one new Ordinary Share for every five Ordinary Shares at a date to be determined by the Board at a later date (the "Bonus Issue II"); and

·; The change of the Company's name to "Resource Holding Management Limited".

Based on the issued share capital of RHM of 37,278,542 Ordinary Shares at the date of posting of the AGM notice, the maximum number of new Ordinary Shares which can be issued under the Bonus Issue I is 3,727,854. The number of new Ordinary Shares to be issued under the Bonus Issue I will be calculated based on the number of Ordinary Shares held by shareholders at 5.00 p.m. (UK time) on 18 July 2012. It is anticipated that the new Ordinary Shares to be issued under the Bonus Issue I will be admitted to trading on AIM on 20 July 2012 (and not 19 July 2012 as previously announced).

A further announcement is expected to be made by the Company on 19 July 2012 confirming the number of new Ordinary Shares to be issued under the Bonus Issue I.

Change of Name

Following approval by shareholders at the AGM, the Company intends to change its name to Resource Holding Management Limited. The change of name remains conditional upon on the new name being registered in the Register of Companies by the Registrar of Companies in the Cayman Islands.

A further announcement will be made by the Company once the change of name becomes effective.
