("RedHot" or the "Company")

Issue of Equity and Total Voting Rights

The Board of RedHot announces that the Company has issued 18,646 new ordinary shares of US$0.10 each in the Company ("Ordinary Shares") to Ms Chan Foong Ping, Finance Director of RedHot ("Ms Chan") (the "Consideration Shares"). Pursuant to the terms of Ms Chan's service agreement with the Company (dated 28 September 2011), she is entitled to be issued with up to £30,000 of new Ordinary Shares per annum, calculated at the average price of an Ordinary Share for the 5 business days prior to the end of the respective calendar year. The Consideration Shares represent the period from 17 October 2011 (the date on which she commenced employment with the Company) to 31 December 2011 and have been issued at a price of 33.5p per Ordinary Share, representing the average price of an Ordinary Share for the 5 business days prior to 31 December 2011. Ms Chan is not a main Board Director of RHM.

Application has been made for the Consideration Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or around 17 July 2012. Following Admission the Company will have 37,297,188 Ordinary Shares in issue, each with voting rights. This figure may be used by shareholders of RedHot as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
