Completion of transaction with PUC Founder (MSC) Berhad

The Board of RHM is pleased to announce that, further to the announcement released by the Company on 15 November 2013, the disposal by RHM of the entire issued share capital of Red Media Asia Ltd ("RMA") to PUC Founder (MSC) Berhad ("PUCF") (together the "Disposal") has been completed, effective today. The Disposal was approved by shareholders of both RHM and PUCF in extraordinary general meetings of both companies held on 6 November 2013 and has received regulatory approval in Malaysia.

With effect from today the 750,000,000 Consideration Shares issued to RHM on completion have been listed on the ACE Market in Malaysia. RHM has incorporated a new, wholly owned subsidiary, RedHot Media International Limited, a company incorporated in Labuan, for the sole purpose of holding the Consideration Shares.

Following completion of the Disposal and the subsequent settlement of the Convertible Securities, the introducer fees and the placement to meet the public spread requirements of the ACE Market (as detailed in the circular sent to shareholders on 18 October 2013) RHM holds 527,939,106 PUCF Shares representing 62.48 per cent. of PUCF's current issued share capital and RHM thereby, indirectly, holds 62.48 per cent. of RMA as of today.

Where applicable the same definitions apply throughout this announcement as are applied in the circular sent to shareholders on 18 October 2013 and the accompanying announcement dated 18 October 2013.
