("Ross Group" or the "Company")
Placing
Ross Group PLC is pleased to announce that c£82k has been raised through a placing of 7,340,156 new ordinary shares of 0.1p each (the "Placing Shares") at a placing price of 1.125 pence per share. The placing will provide working capital for the Company's existing businesses.
The Company will now apply to the United Kingdom Listing Authority for the Placing Shares to be admitted to the Official List and for the shares to be admitted to trading on the London Stock Exchange plc's market for listed securities. The Placing Shares will rank pari passu in all respects with the Company's existing ordinary shares in issue.
Following admission to trading on the Official List, the Company's total issued share capital will be 157,139,272 ordinary shares. The Placing Shares will represent c4.7% of the Company's enlarged issued share capital.
The above figure of 157,139,272 ordinary shares represents the total voting rights in the Company and may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
