1. 2006 Long Term Incentive Plan - vesting of plan cycle 4B
Ricardo PLC (the "Company") announces that on 10 March 2014, a total of 6,385 ordinary shares of 25 pence each in the Company ("Shares") vested in favour of Martin Fausset, a Person Discharging Managerial Responsibilities ("PDMR"), under the terms of the Company's 2006 Long Term Incentive Plan (the "Plan"). This vesting related to an award that was granted under the Plan on 8 March 2011 and was subject to the satisfaction of both EPS and TSR performance conditions.
Following this vesting, a total of 6,385 Shares were sold at a price of £7.7327 per Share on behalf of Mr Fausset on 10 March 2014.

Following the above notification, the total holding of Shares of the relevant PDMR is unchanged as follows:
