Zareba PLC17 March 2006 Zareba PLC ("Zareba" or "the Company") Letter to Shareholders The Company wishes to announce that the following letter was posted toshareholders today: "Dear Shareholder Reverse Takeover Update I am writing to give you a little advance notice of events which are about tooccur in relation to the reverse takeover transaction under which the Company isto acquire the entire issued share capital of Quadrise International Limited ofwhich we announced details last December. The current plans are that an Admission Document giving full details of thereverse takeover transaction, a substantial share placing and associatedproposals will be sent out to shareholders on Thursday next week, 23rd March.Dealings in the Company's shares, which have been suspended since 9th December2005 are therefore expected to resume on 23rd March. The Admission Document will contain notice of an Extraordinary General Meetingto deal with a number of resolutions that are required in connection with thetransaction. When you receive the Admission Document you will see that thetransaction is recommended by the Board and we hope that it will receive yoursupport. We are arranging for this letter to be sent to all underlyingbeneficial owners of shares, insofar as their details are known to the Company,and will also be arranging for copies of the Admission Document to be sent tothose underlying beneficial owners of shares, so that they are informed. Pleasenote that if your shares are held by a nominee, you should let the nominee knowhow you wish to vote on the resolutions as you have no right to vote yourself. For those of you who would like to have early sight of the Admission Documentbefore it arrives by post, we are arranging for a copy to be made available onthe Company's website from 8.00am on the day of publication - scheduled for 23rdMarch 2006. There will also be anannouncement on the Regulatory News Service on the day of publication of theAdmission Document.
