Quadrise Fuels International Plc ("QFI" or the "Company")
Admission, Total Voting Rights, Directors' Shareholdings, Change of Broker & Nominated Adviser
Following the announcement made by the Company on 30 March 2011, QFI today announces, pursuant to the Placing and Open Offer, the admission of the Offer Shares to trading on AIM.
Total Voting Rights
Following Admission, QFI's issued share capital consists of 635,043,391 ordinary shares of 1p each with voting rights. The rights attaching to the Offer Shares, including as to voting, are the same as those of the Existing Ordinary Shares. The Company does not hold any ordinary shares in treasury. Therefore, the total number of voting rights in the Company is 635,043,391 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
Directors' Shareholdings
The Directors of QFI announce that their shareholdings in the Company, following Admission are as follows:

* Tilehouse Limited owns 377,000 Ordinary Shares and has subscribed for a further combined total of 1,842,524 Ordinary Shares in the Placing and Open Offer. Tilehouse Trust is the owner of Tilehouse Limited and Ian Williams is a beneficiary of Tilehouse Trust.
Appointment of new Broker
The Company announces that it has appointed Jendens Securities Limited, the stockbroking and advisory firm, as its corporate broker with immediate effect. Jendens was instrumental in the successful completion of the recent Placing and Open Offer.
Appointment of Nominated Adviser
The Company further announces that it has appointed Smith & Williamson Corporate Finance Limited, as its nominated adviser, with immediate effect.
All capitalised definitions used in this announcement bear the same meaning as those in the circular which was sent to the Company's shareholders and dated 8 March 2011.
