Publication of Prospectus and Listing Update
PureCircle, the world's leading producer and marketer of high purity stevia ingredients, announces that, following the statement made on 21 September 2015, it has today published its prospectus ("Prospectus") in connection with the admission of the Company's ordinary shares ("Ordinary Shares") to the premium segment of the Official List of the UK Listing Authority and to trading on London Stock Exchange plc's main market for listed securities ("Admission").
It is expected that Admission will become effective and that dealings in the Ordinary Shares on the London Stock Exchange's main market will commence at 8:00 am on Wednesday 28 October 2015. Trading in the Ordinary Shares on AIM will be cancelled simultaneously with Admission.
The Company is not raising any funds or issuing any new ordinary shares in connection with Admission.
The Company's TIDM code on the London Stock Exchange will continue to be PURE. On Admission, the Company's issued share capital will be 172,206,294 Ordinary Shares, of which a total of 104,290 are held in treasury. Therefore the total number of ordinary shares with voting rights in the Company is 172,102,004 Ordinary Shares.
Liberum Capital Limited has been appointed as Sponsor, Broker and Financial Adviser in relation to the admission to the Official List and move to the Main Market and will continue to act as a broker to the Company following Admission.
The Prospectus has been approved by the UK Listing Authority. A copy can be accessed on the Company's website www.purecircle.com, and will shortly be available for viewing at the National Storage Mechanism at http://www.morningstar.co.uk/uk/NSM.
