Pittards PLC28 April 2006 ANNOUNCEMENT Pittards Plc wishes to clarify the announcement that it made on 20 April 2006concerning the circular posted to all shareholders on 19 April 2006 ("NewCircular") containing the revised proposals (the "Revised Proposals") regardingthe terms on which it proposes to deal with the deficit on the Group's pensionschemes. The Extraordinary General Meeting and separate Class Meetings of the holders ofOrdinary and Preference Shares (the "Meetings") to be held on 12 May 2006 are,technically, new meetings and are not a resumption of the meetings originallyconvened for 13 April 2006. The notices convening the Meetings, as contained inthe New Circular, each contain a resolution dealing with the adjourned 13 Aprilmeetings. The record date for determining the entitlement of shareholders to participatein the Share Capital Reorganisation (as defined in the New Circular) is 12 May2006 (the "Record Date"). As stated in the announcement of 20 April 2006, the Directors unanimously andstrongly recommend that the resolutions to implement the Revised Proposals beapproved by shareholders in order to avoid the Company having to enterAdministration. The Company will be holding two presentations at 11.30 and 2pm on Tuesday 2 Mayat its offices in Sherborne Road, Yeovil to outline future strategy and explainthe importance of voting in favour of the resolutions, to which all shareholdersare invited.
