NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Following the approval by shareholders at the Annual General Meeting held on 25 June 2009 of the Peter Hambro Mining Plc (LSE: POG, POGW) Long-Term Incentive Plan (the Plan), the following director and PDMR has received on 25 June 2009 a conditional performance share award (an Award) under the Plan. The Award in respect of ordinary shares of £0.01 each in the share capital of the Company was made at nil consideration and, upon vesting, the shares will be acquired for nil consideration. Shares delivered pursuant to this Award shall either be issued by the Company or allocated by the group's Employee Benefit Trust from existing shares held by the trust to sub-funds for the benefit of the participant and his family. Performance criteria for the Awards will be measured over the three financial years of the Company from 2009 until 2012, and with potential vesting on the third anniversary of grant subject in normal circumstances to the individual having remained in employment.

The notifications below are all made in accordance with DTR 3.1.4R(1)(a), notice of the transaction having been received by the Company from the PDMR and director listed below on 25 June 2009.
