Grant of options to Directors
PROACTIS Holdings PLC, the specialist Spend Control software provider, announces that on 12 February 2016, a total of 630,000 options over ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares") were granted to certain Directors of the Company ( the "Options"). 210,000 Options were granted pursuant to the Company's Enterprise Management Incentive Scheme ("the EMI Scheme") and 420,000 Options were granted pursuant to the Company's Executive Share Option Scheme ("the ESO Scheme").
The Options were granted for nil consideration with an exercise price of 114.5p per Ordinary Share, based on the closing middle market price of an Ordinary Share on the day of the grant. 210,000 Options will become exercisable on or after the first anniversary of the date of grant, 210,000 Options will become exercisable on or after the second anniversary of the date of grant and the remaining 210,000 Options will become exercisable on or after the third anniversary of the date of grant.
Following this grant of Options, the Directors hold the following Options:
