PLANT HEALTH CARE plc (THE "COMPANY")

1. DIRECTOR'S DEALING - GRANT OF SHARE OPTIONS

On 16 September 2013, options over a total of 128,205 ordinary shares of 1p ("Ordinary Shares") were granted to Dr. Richard Webb, a non-executive director, in accordance with the terms of a share option agreement approved by the Board on 13 September 2013, under which Dr. Webb was to be granted Ordinary Shares in the Company at a price of 78p per share consequent upon his appointment as a non-executive director of the Company.

2. FORMER DIRECTOR/ PDMR SHAREHOLDING

On 17 September 2013, the Company approved the allotment of 13,932 Ordinary Shares to a former non-executive director, in accordance with the Company's existing contractual arrangements, which comprised part of the former non-executive director's remuneration package and are payable in lieu of a part of his fees. The shares were allotted at 69.5p per share, calculated at the closing middle market price derived from the Daily Official List on 16 September 2013.

Application has been made for 13,932 Ordinary Shares (the 'New Shares') to be admitted to trading on AIM and admission is expected to occur on 24 September 2013. The New Shares will rank pari passu with the Company's existing Ordinary Shares.

Following admission of the New Shares, the total issued share capital of the Company will be 70,543,230 Ordinary Shares, all of which have voting rights. There are no shares in treasury.

The above figure (70,543,230) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Plant Health Care plc under the FCA's Disclosure and Transparency Rules.

3. DIRECTOR'S HOLDINGS

Following the above-mentioned grant of options over Ordinary Shares,Dr. Webb's beneficial interest in the enlarged Ordinary Share capital of the Company is as shown below:
