Plant Health Care PLC10 June 2005 Plant Health Care plc ("the Company") Directors' Holdings The Company today approved the allotment of 5,000 ordinary shares of 1p each inthe Company ("Ordinary Shares") to Sam Wauchope, non-executive director in lieuof a cash bonus of £1,600. Following this transaction Sam Wauchope's totalholding is 5,000 shares. The Ordinary Shares have been allotted at 32p per Ordinary Share being theclosing middle market price of the average of three days prior to the allotmenton 10June 2005.
