Issue of Equity

Oxus Gold plc ("Oxus" or the "Company"), is pleased to announced that it has raised £100,000 following a subscription for new ordinary shares in the Company by Darwin Strategic Limited ("Darwin") (a majority owned subsidiary of Henderson Global Investors Volantis Capital). The subscription for new ordinary shares was made by Darwin on 26 April 2013 under the terms of the Equity Financing Facility Agreement (as announced on 13 March 2013) and at a gross price per share of 2.50p.

Following the subscription for new ordinary shares by Darwin as set out above, the Company has allotted, conditional on admission to trading on AIM, 4,324,324 new ordinary shares of 1p each to Darwin (the "New Oxus Shares"). The New Oxus Shares rank pari passu in all respects with the existing ordinary shares of 1p each in Oxus.

Application has been made to the London Stock Exchange for the New Oxus Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and that trading in the New Oxus Shares will commence on or around 29 April 2013.

Following Admission, the Company's enlarged issued share capital will comprise 450,733,277 ordinary shares with voting rights. This figure of 450,733,277 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
