IFC Subscription Completed - Section 708A Notice

Nyota Minerals Limited (ASX/AIM: NYO), the gold exploration and development company in East Africa is pleased to announce that, further to the announcement made on 21 June 2012, the Company has now received subscription monies of GBP1.3 million from International Finance Corporation ("IFC") in consideration for 21,727,650 new ordinary shares ("Shares") in the Company at 6 pence per ordinary share.

The Company gives notice pursuant to Section 708A(5)(e) of the Corporations Act in relation to the issue of Shares.

The Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act, in reliance on Section 708(8) of the Corporations Act.

The Company, as at the date of this notice, has complied with:

(a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

(b) Section 674 of the Corporations Act.

As at the date of this notice, there is no excluded information for the purposes of Sections 708A(7) and (8) of the Corporations Act in relation to the Company

Application will be made for the admission to trading of 21,727,650 shares on the AIM Market of the London Stock Exchange ("Admission"). Admission is expected to occur on 16 July 2012.

An ASX Appendix 3B in relation to the issue of shares to IFC can be viewed on the Company's website.

Following Admission, the number of Nyota ordinary shares in issue will be 660,800,913 and the IFC will hold 86,913,972 shares representing 13.2% of the Company's issued share capital.
