Director Appointment

National World plc (LSE: NWOR), announces the appointment of David Fordham as a Non-Executive Director with effect from 29 September 2021.

The appointment is made at the request of Mediaforce (Holdings) Limited ("Mediaforce") (note 1 below).

David Fordham has extensive newspaper industry experience having held several executive roles in the sector and is currently a director of Iiiffe Media Group Limited ("Iliffe").

David Fordham will not be considered to be independent for the purposes of the UK Corporate Governance Code (and accordingly will not be appointed to serve on any of the committees of the Board).

Interests in shares

As at the date of this announcement, David Fordham and his connected persons do not hold any shares in National World plc.

LR 9.6.13R (1) to (6)

Scottish Provincial Press Limited, a company of which David Fordham was a director at the relevant time, was placed into administration on 10 December 2019 and a pre-pack administration completed on the same date. The acquiror was Highland News and Media Limited, a company of which Mr Fordham is a director. There are no additional matters that would require disclosure under LR 9.6.13 R (1) to (6) in respect of David Fordham.

Note 1 - pursuant to the subscription agreement dated 30 December 2020 Mediaforce has the right to appoint two directors in the event that Mediaforce's shareholding is above 20% and one director if Mediaforce's shareholding is above 15% but below 20%. Mediaforce currently holds 61,897,882 shares, equal to 23.9% of the issued voting share capital.
