A total of 6,050,000 new ordinary shares of five penceeach ("Placing Shares"), representing approximately 9.4 per cent. of Northgate'sexisting issued share capital, have been placed, by Hoare Govett Limited, withinstitutions at a price of 1065 pence per share, raising approximately£64.4million before expenses. The Placing Shares will be issued credited as fully paid and will rank paripassu in all respects with the existing ordinary shares of Northgate, includingthe right to receive all dividends and other distributions declared, made orpaid after the date of issue of the Placing Shares. The Placing Shares do notrank for the interim dividend declared by Northgate on 10 January 2006, forwhich the Record Date was 20 January 2006. The Placing is conditional, inter alia, on admission of the Placing Shares tothe Official List of the Financial Services Authority and to trading on theLondon Stock Exchange (together "Admission"). Application has been made for Admission and it is expected that settlement willoccur, Admission will become effective and dealings in the Placing Shares willcommence on 3 February 2006.
