Transaction in Own Shares

and

Total Voting Rights

In its circular to shareholders dated 29 September 2021, the Board of Northbridge Industrial Services plc, the industrial services and rental company, stated its intention to satisfy future issuances of ordinary shares of 10p each in the Company ("Ordinary Shares") pursuant to the Company's long term incentive plan ("LTIP"), as announced on 10 June 2021, from Ordinary Shares acquired in the market and held in treasury, for example pursuant to a share buyback.

As such, and pursuant to the authority gained at the Company's 2021 Annual General Meeting, the Company announces that on 25 February 2022 it purchased a total of 105,000 Ordinary Shares at a price of 168.5 pence per share. The repurchased Ordinary Shares will be held in treasury.

Total voting rights

Following settlement of the above transaction, the Company's issued share capital will comprise 29,310,670 Ordinary Shares, including 320,150 Ordinary Shares held in treasury.

Therefore, the figure of 28,990,520 Ordinary Shares should be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

Capital Markets Event

Northbridge will host a virtual capital markets event on 10 March 2022 where it will make a presentation in which management will outline the strategic direction and exciting future prospects of the Group, followed by an interactive Q&A session.
