MARWYN VALUE INVESTORS LIMITED (THE "COMPANY")

SHARE TRANSFER

The Company today announces that it was notified that on 19 March 2024, 4,675,438 of the Company's ordinary shares ("Ordinary Shares") which were held by Marwyn Long Term Incentive LP ("MLTI") and indirectly attributable to James Corsellis and Antoinette Vanderpuije as well as other Marwyn staff, have been transferred to their respective personal accounts. There is no change in the ultimate beneficial ownership of these Ordinary Shares.

Following these transactions:

· MLTI no longer holds any Ordinary Shares;

· the aggregate shareholding of James Corsellis and his Person Closely Associated ("PCA") within the meaning of the UK version of Regulation (EU) 596/2014, as incorporated in the UK by virtue of the European Union (Withdrawal) Act 2018, as amended ("UK MAR") is 6,028,311 Ordinary Shares, representing approximately 10.66% of the Company's voting rights; and

· Antoinette Vanderpuije holds 222,112 Ordinary Shares, representing approximately 0.39% of the Company's total voting rights.

James Corsellis and Antoinette Vanderpuije are partners of Marwyn Investment Management LLP, the manager of the Company. Whilst neither James Corsellis nor Antoinette Vanderpuije is a Person Discharging Managerial Responsibility ("PDMR") within the meaning of UK MAR, they have both voluntarily disclosed the information above to the Company, and the Company is voluntarily disclosing the information above to the market, as if they were PDMRs in relation to the Company.
