("Mattioli Woods" or "the Company")
Notification of Transactions of Persons Discharging Managerial Responsibilities ("PDMRs") and persons closely associated
Mattioli Woods (AIM: MTW.L), the specialist wealth and asset management business, announces that on 3 April 2024 the Company received notification from Link Market Services Limited ("Link") that new Ordinary Shares of 1 pence each ("Ordinary Shares") in the Company had been allotted on behalf of certain PDMRs and persons closely associated with PDMRs of the Company as part of a standing election for the reinvestment of dividends, which were paid 22 March 2024, under The Mattioli Woods plc Share Incentive Plan ("the plan").
The resulting shares held by those PDMRs and persons closely associated with PDMRs is as follows:

(1) of which 27 shares were allotted for Clare Mattioli, wife of Ian Mattioli. Resultant holding also includes shares held by close relative Laura Mattioli, daughter of Ian Mattioli.
The allotment of shares as part of reinvestment of dividends was satisfied by the issuance of 11,288 new Ordinary Shares to the plan on 3 April 2024. Following the issuance of new Ordinary Shares, the Company's capital consisted of 51,949,310 Ordinary Shares with voting rights. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company at 4 April 2024 is 51,949,310.
In addition, on 4 April 2024, Ian Mattioli, Chief Executive Officer and PDMR, transferred 100,000 Ordinary Shares to his wife, Clare Mattioli, for nil consideration. Ian Mattioli's total interest in Ordinary Shares remains unchanged after the transfer.
