Melrose Resources plc (LSE: MRS) ("the Company") announces that, on 1 July 2011, it received notification of the following changes in Directors' shareholdings as a result of the purchase of shares in the Company, further details of which are set out below.

Notes:
(1) The interests of Mr Adair as at 2011 include 57,391,423 ordinary shares held by Skye Investments Limited, a company in which he has a controlling interest.
(2) The 20,000 shares purchased on 29 June 2011 were acquired at a price of 227 pence per share. The shares were acquired to be held within Mr Adair's personal pension account.
(3) The Company has 114,689,178 ordinary shares in issue.
