However, in accordance with the Company's relevantoption scheme rules, the number of these share options was subsequently adjustedto take into account the dilutive effects of the Placing and Open Offer that wasannounced on 9 June 2006 ("the Adjustment"). The effect of the Adjustment,which has been agreed with the Company's auditors and H M Revenue and Customs inaccordance with the relevant option scheme rules, was to increase the number ofshare options outstanding with effect from 9 June 2006. As a result of theAdjustment, an additional 70,923 ordinary shares have been issued in respect ofthese share options. (1) The interests of R F M Adair as at 12 February 2007 and at 13February 2007 include 52,411,023 ordinary shares held by Skye InvestmentsLimited, a company in which he has a controlling interest; (2) Following the issue of these 70,923 ordinary shares, theCompany has 102,694,379 ordinary shares in issue.
