Accelerated Bookbuild for employees, contractors and directors

The Board of MRS is pleased to announce that, following the announcement on 25 June 2018, the placing of 14 million new ordinary shares of €0.01 each ("Ordinary Shares") to employees, contractors and directors (the "New Share Placing") at a price of 6.5p per share has completed, with the full 14 million shares being taken up.

MRS Directors and Management have taken up the following

John Zorbas 4,000,000 shares

Paul Brenton 1,000,000 shares

Tim Jones 1,000,000 shares

Jonathon McTaggart 200,000 shares

Shaun Fraser 450,000 shares

The remaining 7,350,000 shares has been taken by employees and contractors.

The New Share Placing will provide MRS with additional working capital.

Admission and Total Voting Rights

The 14,000,000 New Placing Shares will rank pari passu with the Group's existing Ordinary Shares. Application will be made for the New Placing Shares to be admitted to trading on AIM ("Admission") and it is expected that such Admission will become effective on or around 12 July 2018.

Following Admission, the Group will have a total of 196,946,002 Ordinary Shares in issue with each Ordinary Share carrying the right of one vote. The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or change to their interest in, the Group under the FCA's Disclosure and Transparency Rules.
