Result of General Meeting

Directors' Holdings

On 22 September 2014 MoPowered Group Plc (MPOW), the mobile commerce specialist, announced that it had conditionally raised £3.5 million (before expenses) through the issue of 70,000,000 ordinary shares of 0.5 pence each ("Ordinary Shares") at a price of 5 pence per new Ordinary Share (the "Placing"). The Company made a further announcement on 7 October 2014 that it had conditionally raised an additional £157,000 through the issue of 3,140,000 Ordinary Shares at a price of 5 pence per new Ordinary Share (the "Second Placing") in connection with the purchase from Rounded Labs Limited of the Cortana platform, an app-creation software asset which allows for the rapid construction of mobile commerce applications. Both the Placing and the Second Placing are conditional, amongst other things, on the Resolutions being passed.

The Company is pleased to announce that at the General Meeting held earlier today all Resolutions proposed were duly passed.

Application has been made to the London Stock Exchange for the 73,140,000 new Ordinary Shares conditionally placed pursuant to the Placing and the Second Placing to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on or around 13 October 2014.

Following Admission, the number of Ordinary Shares that the Company will have in issue will be 89,052,803. The total number of voting rights of the Company will be 89,052,803. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company.

The Directors of the Company hold and will, immediately following Admission, hold the following interests in the issued share capital of the Company.

* of these Ordinary Shares, 587,500 Ordinary Shares are held by Dominic Keen and his spouse, 2,485,440 Ordinary Shares are held by the Trustees of the Imperialise Limited Pension Fund of which Dominic Keen is a member and 318,963 Ordinary Shares are held by Imperialise Limited of which Dominic Keen is a shareholder.

** of these Ordinary Shares, 587,500 Ordinary Shares are held by Dominic Keen and his spouse, 4,485,440 Ordinary Shares are held by the Trustees of the Imperialise Limited Pension Fund of which Dominic Keen is a member, 318,963 Ordinary Shares are held by Imperialise Limited of which Dominic Keen is a shareholder and 10,000,000 Ordinary Shares are held by Twocan Limited, a company owned by a trust of which Dominic Keen is a beneficiary.

Defined terms used in this announcement shall have the same meaning as those terms defined and used in the circular of the Company dated 22 September 2014.
