Proposed Placing
As announced on 11 June 2009 the Directors of TLDH (AIM: TLDH) are proposing that the Company's current investing policy in relation to asset allocation and risk diversification ("Investing Policy") is modified, subject to approval at the forthcoming annual general meeting ("AGM") to be held on 26 June 2009, so that the Company can consider a wider range of potential investment opportunities in the internet sector (the "Modified Investing Policy"). In particular the Company intends to acquire a widely distributed mix of businesses involved in the operation and supply of support services to domains and websites and other related internet services businesses including top level domains and top level domain infrastructure and support technologies. As the internet continues to evolve rapidly, this should enable to Company to exploit new investment opportunities which arise through technological or regulatory change.
The Board is excited about the prospects for the Company and today announces that in order to develop the business rapidly in line with the Modified Investing Policy, the Company intends to raise US$2 million by way of a market placing of new Ordinary shares (together with warrants), conditional on approval at the AGM of the Modified Investing Strategy. Certain of the Directors and their related interests have expressed a desire to participate in such a placing and subscribe up to a further US$2.5 million on the same terms as third party placees. A further announcement will be made in due course.
The AGM will be held at the offices of Herbert Smith LLP, 66, Avenue Marceau, 75008 Paris at 11:30 a.m. (British Summer Time) on 26 June 2009.
