Management Consulting Group PLC (the "Company")

Issue of Equity

Management Consulting Group announces that application has been made to the UK Listing Authority and to the London Stock Exchange for the admission to trading of 1,708,886 new Ordinary Shares of 1 penny each. These shares are being issued as part of the deferred consideration for a small acquisition which the Company made in October 2015. It is expected that admission of these new Ordinary Shares, which will rank pari passu in all respects with the existing Ordinary Shares of the Company, will occur on 28 October 2016.

Following admission, the Company's issued ordinary share capital will consist of 510,221,685 Ordinary Shares of 1 penny each of which 2,427,620 Ordinary Shares are held in Treasury. The total number of voting rights in the Company will therefore be 507,794,065 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Management Consulting Group PLC under the FCA's Disclosure Guidance and Transparency Rules.
