 Long Term Incentive Awards

On 11 September 2013 the following executive director and other persons discharging managerial responsibility ("PDMRs") of the Company, were granted awards ("Awards") entitling them to receive ordinary shares of 30 pence in the Company under the Millennium & Copthorne Hotels Long Term Incentive Plan:

The Awards will normally vest on the third anniversary of the grant date, subject to continued employment and achievement of performance conditions based on achievement of earnings per share growth for 50% of the share award and relative Total Shareholder Return performance for the remaining 50% of the awards.

No consideration was paid for the grant of the awards and no payment is due on the vesting and exercise of these awards.
