Results of General Meeting and Issue of Equity

The Company announces that all Resolutions put to Shareholders at today's General Meeting in connection with the recently announced Fundraising to raise gross proceeds of approximately £9.2 million by way of the Placing and Retail Offer, were duly passed. Details of the voting results at the General Meeting will shortly be published on the Company's website (link: https://mjhudson.com/investors/).  

Application has been made for 30,742,463 New Ordinary Shares (representing the 30,000,000 Placing Shares and the 742,463 Retail Offer Shares) to be admitted to trading on AIM ("Admission"), which will take place at 8.00 a.m. on 1 September 2022.Following Admission, the Company will have 203,370,228 Ordinary Shares in issue carrying voting rights admitted to trading on AIM. This figure, 203,370,228, may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Certain Directors and PDMRs have subscribed for an aggregate of 2,886,005 Placing Shares (approximately £0.87 million) in the following amounts. The Company notes that Matthew Hudson has subscribed for a slightly higher number of Placing shares than previously disclosed in its announcement on 11 August 2022.
