Directorate Changes

Change of Chairman

The Board announces that Keith Niven is standing down as Chairman of the Company and is retiring from the Board with immediate effect on health grounds. He will not therefore be standing for re-election at the forthcoming Annual General Meeting ("AGM") of the Company, to be held on Monday 23 May 2016. Accordingly, it is the intention of the Board to recommend to the meeting that Resolution 5, on the Notice convening the AGM, be withdrawn.

The Board is pleased to announce that Clive Boothman, an existing non-executive director of the Company, has been appointed independent non-executive Chairman of the Company with immediate effect.

Mr Boothman has over thirty years' experience in the financial services industry. He was with Schroders from 1983 - 2000 during which time he was Managing Director, Investment Funds for ten years and Managing Director, Private Client Group for the final two years. Since leaving Schroders, he has been Chief Executive of Gerrard Limited (2000-2001), a stock broker, and Cofunds Limited (2002-2003), a fund platform, London Representative, Jersey Finance Limited (2009-2011) and non-executive chairman of Investment Funds Direct Limited (2004-2014), a wrap platform. He is also currently non-executive chairman of Platform One Limited, an international wrap platform.

He joined the Board of the Company on 1 August 2015.
