Announcement of Offer for Subscription

The Board is pleased to announce the launch of an Offer for subscription of new ordinary shares to raise up to £1.5 million ("the Offer"). The New Shares are being offered at 84.19p (this being the most recently published quarterly net asset value of the ordinary shares and adjusted for the costs of the Offer). The Offer will close on 5 April 2013 in respect of the 2012/13 tax year and on 30 April 2013 in respect of the 2013/14 tax year (unless fully subscribed or otherwise closed by an earlier date).

Further details on the terms of the Offer are set out in an Offers Document which also contains details of parallel offers of shares by Maven Income and Growth VCT PLC, Maven Income and Growth VCT 2 PLC and Maven Income and Growth VCT 5 PLC. Applicants should note that to be accepted, an applicant must invest in each of the parallel offers in the following proportions: 27.273% in the case of the Company, Maven Income and Growth VCT PLC and Maven Income and Growth VCT 2 PLC, and 18.181% in respect of Maven Income and Growth VCT 5 PLC.
