Notification of Transactions of PDMRs

Grant of Options to PDMRs under the Company's

All Employee Share Plan

In accordance with the requirements of DTR 3.1.4, the Company announces that each of the following persons, each being a Person Discharging Managerial Responsibility (a "PDMR"), has on 16 March 2016 been granted options ("Options") to purchase Ordinary Shares of £0.01 each in the capital of the Company ("Shares") pursuant to the Company's All Employee Share Plan at an exercise price per Share of £3.1501 for the UK Sharesave and an exercise price per Share of £3.5275 for the US Employee Stock Purchase Plan.

The awards in favour of each the PDMRs set out below are made under Merlin's Global All Employee Share Plan, and is available to all Merlin's employees, subject to qualifying conditions.

The Options are, in normal circumstances, not exercisable until the completion of a 3 year savings period, which will end on 1 April 2019 and will then be exercisable for a period of 6 months. The exercise period will, therefore, in normal circumstances, be from 1 April 2019 until 30 September 2019.

The Company was notified of the grant of the Options on 21 March 2016.
