RESULTS OF THE EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS

28 April 2017, Moscow, Russia - MD Medical Group Investments Plc ("MD Medical Group", "MDMG" or the "Company" - LSE: MDMG), a leading Russian private healthcare provider, today announces that the Company held its Extraordinary General Meeting of shareholders ("EGM").

The EGM was held at Lapino hospital, Lapino 111, Odinzovskiy district, Moscow Region, Russian Federation on 28 April 2017 at 11.00 a.m. local time, and had a 100% quorum with 75,125,010 shares present.

At the EGM, the following resolutions were passed in accordance with section 59A of the Companies Law Cap. 113 (as amended) by a majority of members:

1. THAT the issue of up to 8,417,000 ordinary shares of US$0.08 each in the Company be and is hereby approved and that the Company's board of directors be and is hereby authorised to allot and issue up to 8,417,000 ordinary shares of US$0.08 each in the Company to such persons as the board of directors may, in its sole and unfettered discretion, determine, it being understood that the authority granted by this resolution shall lapse on 27 April 2022 and the issue price in respect of the aforesaid issue of shares shall be determined in accordance with procedure defined in the Directors' Report (Appendix 1), a copy of which has been provided to the shareholders.

2. THAT the shareholders of the Company having considered the Directors' Report (Appendix 1) dated 5 April 2017 hereby irrevocably and unconditionally waive any pre-emptive and other rights they have or may have by operation of law and/or pursuant to the articles of association of the Company and/or otherwise in connection with the authority conferred on the board of directors for the issue and allotment of 8,417,000 ordinary shares of US$0.08 referred to in resolution no. 1 above.

The Minutes of the EGM are available for viewing at the registered office of the Company at 24/1 Sevastopolsky prospect, Moscow, Russia and will be available at the National Storage Mechanism of the UK Listing Authority, located at www.morningstar.co.uk/uk/.
