K3 Business Technology Group PLC22 June 2005 For immediate release 22 June 2005 K3 BUSINESS TECHNOLOGY GROUP PLC ("K3") GRANT OF SHARE OPTIONS TO DIRECTORS On 21 June 2005 K3 granted options over 50,000 ordinary shares of 25 pence eachat an exercise price of 94 pence under the company's Executive Share OptionScheme 1994 to each of its three executive directors: Mr Andy Makeham, Mr DavidBolton and Mr Russell Dorset. The options are exercisable between three and ten years after the date of issueand are subject to the achievement of growth in earnings per share over thethree year period ending 31 December 2007. 100% of the options will becomeexercisable if, at the end of the performance period, the annual growth rate inearnings per share is at 25% or greater; 50% of the options will becomeexercisable if, at the end of the performance period, the annual growth rate inearnings per share is at or above 20% but less than 25%; 25% of the optionswill become exercisable if, at the end of the performance period, the annualgrowth rate in earnings per share is at or above 15% but less than 20%. Theearnings per share against which growth is measured is 6.0 pence per share forthe year ended 31 December 2004.
