Non-Mainstream Pooled Investments
The Board of the Company notes the rules of the UK Financial Conduct Authority ("FCA") relating to restrictions on the retail distribution of unregulated collective investment schemes and close substitutes (referred to as "non-mainstream pooled investments"), effective from 1 January 2014.
The Board has sought legal advice and received guidance from the FCA, after which it has concluded that shares in the Company are excluded from these new rules as the investment returns received in connection with shares in the Company are wholly or predominantly linked to, contingent on, highly sensitive to or dependent on, the performance of or changes in the value of shares, debentures or government and public securities which are not themselves issued by special purpose vehicles. As a result, the Board is of the view that the restrictions relating to non-mainstream pooled investments will not apply to shares in the Company.
