CHANGES TO 2021 AGM ARRANGEMENTS
The Company announces an update to the Annual General Meeting ("AGM") arrangements as detailed in the 2021 Notice of Annual General Meeting, published on 4 May 2021.
The Company notes the announcement by the UK Government on 14 June 2021 that the Step 3 restrictions, which had been expected to be relaxed prior to the AGM, are now expected to remain in place until 19 July 2021. The Company understands and respects the importance of the AGM to shareholders and the Board greatly values the opportunity to meet shareholders in person. However, the health and wellbeing of our employees and shareholders is of paramount importance and therefore the Company has decided to make changes to the way in which we will conduct the 2021 AGM.
In light of the recent UK Government announcement, the Board requests that shareholders do not attend the AGM in person and intends that the 2021 AGM will be held as a closed meeting. The minimum quorum requirements as stated in the Company's articles of association will be facilitated by the Company.
Shareholders are strongly encouraged to submit their votes by proxy in advance of the AGM and to appoint the Chairman of the meeting as their proxy. The Board strongly encourages submission of proxies to our registrars as early as practicable prior to the deadline of 11:00 (London time) on 21 June 2021. The Notice of Annual General Meeting sets out more details as to how to shareholders may submit proxies.
