JJB Sports PLC21 June 2006 JJB Sports Plc Posting of circular JJB Sports plc ("JJB") announces that a circular ("Circular") is being sent toshareholders today giving notice of its Annual General Meeting at whichproposals will be made, inter alia, to (i) offer a scrip dividend toshareholders of JJB as an alternative to the final cash dividend of 7 pence netper share for the financial period to 29 January 2006, (ii) renew its existinggeneral authority to purchase, in the market, up to 5% of its issued sharecapital and (iii) adopt the 2006 Long Term Incentive Plan and the 2006Unapproved Share Option Plan. Because of the number of ordinary shares in JJB held by the Chairman DavidWhelan and members of his family and related family trusts, approvals will besought from the shareholders of JJB to approve waivers by the Panel on Takeoversand Mergers of the obligation under Rule 9 of the City Code on Takeovers andMergers requiring members of the Concert Party (as defined in the Circular) tomake an offer for the issued share capital of JJB which they do not already holdin respect of: 1. any acceptance of the scrip dividend offer for the whole or any part of the final dividend for the financial period to 29 January 2006 by members of the Concert Party; 2. any exercise by JJB of the own share purchase authority being sought at the Annual General Meeting; and 3. the vesting of the award (detailed in the Circular) proposed to be granted to David Whelan under the 2006 Long Term Incentive Plan.
