Notification of Transactions of Directors/
Persons Discharging Managerial Responsibility and Connected Persons
Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the "Company") announces that, on 1 June 2015, the Company granted an Award under the Interserve Performance Share Plan 2015 (in the form of nil-cost options), to each of the following Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRs"), to acquire ordinary shares of 10p each in the Company ("Shares"), up to the maximum numbers shown below:-

The Awards will normally vest on or after the third anniversary of the date of grant subject to the fulfilment of certain performance conditions based on earnings per share and total shareholder return and are subject to recovery and withholding provisions. No consideration is payable on the grant or the vesting of the Award which must be exercised within two years of vesting. The Awards granted to the Executive Directors are subject to a two-year holding period after vesting.
Shareholding in the Company
In addition, and pursuant to Disclosure and Transparency Rule 3.1.2, the Company announces that it was informed on 2 June 2015 that Mr Tim Haywood's shareholding in the Company has been reduced by 42 shares in respect of broker fees relating to the transfer of shares into his ISA account. Mr Haywood's total holding in the Company is therefore 115,068 ordinary shares of 10p each representing 0.08% of the Company's issued share capital.
