The shares indirectly held by the notifiers are directly held by Monterey Capital II S.à r.l., which is owned, in aggregate, by eight limited partnerships, each of which has a common general partner, Terra Firma Investments (GP) 2 Limited, a Guernsey limited company, which therefore has an indirect interest in the Ordinary Shares owned by Monterey Capital II S.à r.l. Terra Firma Investments (GP) 2 Limited is 100 per cent. owned by a chain of companies, each a Guernsey limited company, comprising: TFCP Holdings Limited; Terra Firma Holdings Limited; and TFCP Capital Investments Limited, which itself is ultimately owned by Guy Hands. TFCP Holdings Limited, Terra Firma Holdings Limited, TFCP Capital Investments Limited and Guy Hands are therefore also all indirectly interested in 3 per cent. or more of the issued share capital of the issuer.

(ii) the disposal by Monterey Capital II S.à r.l of 1,502,508 ordinary shares.
