Issuance of loan conversion shares and change to total voting rights

InfraStrata plc (AIM: INFA), the UK quoted company focused on strategic infrastructure projects and physical asset life-cycle management, announces that it has received notices to convert £150,000 of the first tranche of its £2.2 million loan facility with Riverfort Global Opportunities PCC Limited and YA II PN Limited (the "Loan") into a total of 57,507,002 new ordinary shares of 0.01p in the Company ("New Ordinary Shares") as to 19,455,252 New Ordinary Shares at a price of 0.257 pence per New Ordinary Share and 38,051,750 New Ordinary Shares at a price of 0.2628 pence per New Ordinary Share.

Details of the Loan were announced on 1 October 2019 and 14 November 2019. Following these conversions, the principal balance of the Loan has reduced to £805,555.

Application will be made for the New Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or around 10 January 2020.

Total Voting Rights

Upon Admission, the Company's issued share capital will consist of 3,740,363,291 Ordinary Shares with one voting right each. The Company does not hold any ordinary shares in treasury. Therefore, the total number of ordinary shares and voting rights in the Company will be 3,740,363,291. With effect from Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
