Issue of shares and total voting rights

On 2 July 2019 as part of the Preliminary Results, the Company announced the issue of 159,606 shares relating to the early settlement on the acquisition of Infracast. The Company has made an application to the London Stock Exchange for the admission of 159,606 new ordinary shares of 10p each in the Company ("Ordinary Shares"). When issued, the Ordinary Shares will rank pari passu with the Company's existing issued Ordinary Shares. It is expected that admission will become effective on 23 July 2019.

Following the Share Issue the Company's enlarged issued share capital will comprise 67,208,620 ordinary shares. The Company holds zero shares in treasury. Therefore, when calculating voting rights, shareholders should use the figure of 67,208,620 as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
