Imagination Technologies Group plc (the "Company") - Director/PDMR Shareholdings

1. Grant of Share Award under the Imagination Technologies Group plc Long Term Incentive Plan ('LTIP').

In accordance with Disclosure and Transparency Rule 3.1.4R, the Company was notified on 22 July 2016 that the Company's Chief Executive Officer, Andrew Heath and Chief Financial Officer, Guy Millward were granted an award over ordinary shares of 10p under the Company's LTIP. The awards were granted as a nil cost option and are subject to performance and employment conditions in accordance with Company's approved Director's Remuneration Policy.

The number of shares subject to the award was determined by using the average closing price of an Imagination Technologies Group plc share for the three dealing days preceding the date of grant (19, 20 and 21 July) which was 212.67p per share.

50% of the award will vest on 22 July 2019, with 25% on 22 July 2020 and 25% on 22 July 2021. The number of Shares subject to each proportion of the award which vests shall be determined as soon as practicable following publication of the Company's audited results for the year ending 30 April 2019.

2. Under the Company's all employee Share Incentive Plan (the 'SIP'), shares were allocated on 21 July 2016 by the SIP Trustee to eligible employees, including the Company's Chief Executive Officer, Andrew Heath and Chief Financial Officer, Guy Millward.

These shares will be held in trust by Equiniti Share Plan Trustees Limited, in line with the Rules of the SIP.
