Notification of a Share Award to the Chief Executive Officer of the Company

Grant of a Share Award under the Imagination Technologies Group plc Long Term Incentive Plan ('LTIP').

In accordance with Disclosure and Transparency Rule 3.1.4R, the Company was notified on 30 October 2015 that the Company's Chief Executive Officer, Sir Hossein Yassaie was granted conditional awards over ordinary shares of 10p under the Company's LTIP. The awards were granted as nil cost options and are subject to performance and employment conditions set out in the Company's annual report 2015.

The number of shares subject to the award was determined by using the average price of an Imagination Technologies Group plc share for the three dealing days preceding the date of grant (27, 28 and 29 October) as ascertained by the Official List which was 225p per share.

Subject to the achievement of the performance conditions, 50% of the award will vest on 30 October 2018, with 25% on 30 October 2019 and 25% on 30 October 2020.
