Result of AGM

Image Scan, specialists in the field of real-time 3D and 2D x-ray

imaging for the 'Homeland Security' and 'Industrial Inspection' markets,announces that, at today's AGM, resolutions 1,3,4 and 5 were duly passed.

Resolution 2, in respect of the reappointment of Louise George who retired from the Board of Image Scan by rotation, was defeated and she has therefore stood down from the Board. She will continue to act as Chief Executive Officer of the Company.

The Board is disappointed that certain shareholders voted against this Resolution and is mindful that other shareholders, had they been present at the AGM, might have voted in favour of the resolution. The remaining members of the Board are unanimously agreed that they should seek her reappointment to the Board of the Company and feel such reinstatement is essential to her ability properly to perform the role of Chief Executive Officer.

Under the Company's Articles of Association, the Board could sanction this reappointment without recourse to shareholders but the Board feels it is only right to ask all shareholders for their agreement to such a course of action.

The Company therefore intends to issue a notice to all shareholders convening a General Meeting of the Company at which a resolution will be proposed to seek shareholder approval for the reinstatement of Louise George to the Board of the Company.
