Transfer of Shares

InnovaDerma (LSE: IDP), a UK developer of life sciences, beauty and personal care products, announces that it has acquired a further 2% stake in its Australian subsidiary Skinny Tan Pty ltd ("Skinny Tan") comprising of 20 ordinary shares from Louise Ferguson (the "Transferee") for the consideration as set out below. Following the Transfer of Shares, the Company owns 93% of Skinny Tan.

The Company shall issue 37,166 ordinary shares of EUR0.10 in the capital of the Company as payment for 10 ordinary shares ("Consideration Shares"). A further A$173,724 will be paid to the Transferee for the remaining 10 ordinary shares.

The Ordinary Shares have been issued to the Transferee in certificated form. The new ordinary shares will rank equally in all respects with the Company's existing ordinary shares.

Following the issue of the Consideration Shares, the total number of Ordinary Shares in issue will be 12,651,970. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
