Director/PDMR Shareholding - Employee SAYE Share Plan
Cambridge, UK, 5 July 2019: Horizon Discovery Group plc (LSE: HZD) ("Horizon" or "the Company"), a global leader in the application of gene editing and gene modulation technologies, announces that on 13 June 2019 it invited applications to participate in the H.M. Revenue and Customs "HMRC" approved Save As You Earn option scheme adopted by the Company on 20 March 2014 (the "SAYE Scheme"), allowing employees to participate in the future growth of the Company. All employees, including the Executive Directors of the Company, are entitled to participate in the SAYE Scheme on the same terms. Current HMRC rules allow employees to invest up to a maximum of £500 per month.
On 5 July 2019, the Company granted applicants options to purchase ordinary shares of 1.0 pence each in the Company ("Ordinary Shares") at a fixed price of 118.4p per Ordinary Share. This price represents a 20% discount to the closing mid-market price of the Ordinary Shares on 12 June 2019, being the business day prior to opening of the SAYE Scheme for application. These options vest on 1 September 2022.
Should an employee choose to invest the maximum amount in the SAYE Scheme, it would result in the employee being entitled to buy 15,202 Ordinary Shares at the end of the three year period. However, participants are also entitled to withdraw from the SAYE Scheme at any time, recovering any funds that they may have paid into the scheme.
Mr Terry Pizzie and Mr Jayesh Pankhania, both Executive Directors of the Company, have applied and will participate in the scheme to the maximum amount allowable under the scheme.
